Terms and Conditions
Below are our terms and conditions.
- Background
1.1 Onitio Solutions Sverige AB ("Onitio" or "we") provides hardware and associated standard services. Below are our terms and conditions ("Terms and Conditions"). The Terms and Conditions apply to purchases of products and Standard Services made via our webshop or in connection with us responding to quote requests regarding the range available in our webshop. For purchases of Other Services, different terms apply.
1.2 Onitio only accepts companies and sole proprietors as customers ("Customer") and does not sell to private individuals.
- Agreement and Order
2.1 To make a purchase via our webshop, the Customer must accept the Terms and Conditions and register an account in the webshop. By accepting the Terms and Conditions, the Customer is bound to follow them for future purchases.
2.2 If a company that is not already registered as a Customer in the webshop requests a quote from Onitio, we send the Terms and Conditions along with the quote. If the company accepts the quote, the company is considered to have accepted the Terms and Conditions. Onitio reserves the right to refrain from sending a quote in individual cases.
2.3 Onitio reserves the right to deny or change an order in individual cases. If Onitio accepts the order, an order confirmation is sent to the Customer.
2.4 The Customer is responsible for ensuring that the goods purchased from Onitio can be used for the intended purpose by the Customer.
- Product Information, etc.
3.1 Onitio reserves the right that products may sell out and any image and writing errors in the webshop or other marketing material, such as errors in product description or technical specification, incorrect warranty period, incorrect information about applicable terms for product/service, or incorrect information regarding whether a product is in stock. Onitio has the right to correct such errors and to otherwise change or update the information in the webshop at any time. Onitio is not responsible for information coming from a third party.
3.2 The information in the webshop is protected by, among other things, intellectual property and marketing laws. This means that trademarks, company names, product names, images and graphics, design, layout, and information about products, services, and other content may not be copied or used without prior written consent from Onitio in each individual case. If the Customer infringes on third-party rights in violation of this provision, the Customer shall indemnify Onitio from any claims from third parties.
- Prices, Fees, and Payment
4.1 In cases where the purchase is made via the webshop, the prices stated in the webshop at the time of the order apply, unless otherwise expressly agreed or if circumstances obviously lead to something else. Onitio reserves the right that incorrect prices may be stated in the webshop, for example, due to typographical errors. If an incorrect price has been stated for a product that the Customer has ordered, Onitio will notify the Customer of this and await the Customer's approval of the corrected price before Onitio proceeds with the order.
4.2 In cases where the purchase is made through a quote process, the prices in the quote are based on a specified exchange rate. If the exchange rate at the time of delivery deviates from the exchange rate in the quote, we reserve the right to adjust the prices accordingly. The exchange rate at the time of delivery is obtained from the Swedish Riksbank's average exchange rate.
4.3 All prices are stated in Swedish kronor or euros, excluding VAT and any taxes and fees. The Customer is responsible for paying all costs for shipping, taxes, and fees.
4.4 In the web shop’s shopping cart, the price of the item, VAT, and the fee for standard shipping (goods weight < 5 kg) are shown. On the invoice, any cost for customs, additional shipping beyond standard shipping, fees, and taxes such as chemical tax are added. These costs are reported separately. The Customer is responsible for paying all specified costs.
4.5 The Customer can pay for their purchase in the webshop by card payment or invoice or finance the purchase by entering into a separate agreement with a financing company. More information about financing options is available in the webshop.
4.6 Onitio reserves the right not to always offer all payment methods. In the case of invoice payment, Onitio reserves the right to credit check customers and to deny purchases if a customer's current or future payment ability is not deemed satisfactory.
4.7 When paying by invoice, the Customer must pay no later than twenty (20) days after the invoice date unless otherwise agreed.
4.8 If the Customer does not pay the invoice on time, Onitio has the right to interest on arrears according to the Interest Act (1975:635) with an addition of five (5) percentage points. Onitio also has the right to send reminders, and collection demands and take other reasonable measures and reserves the right to charge statutory collection and reminder fees. If the Customer has not paid the invoice after Onitio's reminder has expired, Onitio also has the right to cancel the current order and any further partial deliveries of the same order.
4.9 The products remain the property of Onitio until they have been paid for in full. Until ownership has passed to the customer, the customer undertakes to take good care of the products and not to make any changes to them without the supplier's written consent. In the event of non-payment, the supplier has the right to repossess the products.
- Delivery and Transport
5.1 Goods in stock are normally shipped within 2-5 working days. Deviations may occur, for example, for large orders. If the Customer has ordered an item that is temporarily out of stock or is a special-order item, the delivery time is longer.
5.2 Onitio only delivers goods within the European Union (EU), the European Economic Area (EEA), and to Switzerland, unless otherwise agreed. The order is delivered by company package. When delivery by company package is not possible, delivery is made to Postnord's delivery point. Unclaimed goods are returned to Onitio. For packages that are not picked up, Onitio has the right to charge the Customer for return shipping, handling, and administration fees.
5.3 If there are any problems that delay the delivery, the Customer will be notified of this. If a delivery takes more than 30 working days beyond the promised delivery time and the delay is not due to the Customer, the Customer has the right to cancel the purchase if the delay is of significant importance to the Customer. The Customer has no right to any other remedy for delivery delay than cancellation and never the right to compensation for direct or indirect damage due to delayed delivery.
- Return
6.1 The Customer has the right to return the item at their own expense within six days from the delivery date. However, the right only applies provided that the item is returned in new condition and in undamaged packaging and that the return is sent as a package. Onitio reserves the right to deny a return that does not meet the specified conditions. Returns with cash on delivery are not accepted.
6.2 An administrative fee of 450 SEK (excluding VAT) always applies to returns.
- Standard Services
7.1 These Terms and Conditions apply, where applicable, also to such packaged services that are available for the Customer to order in the webshop and that are performed by Onitio ("Standard Services"). To avoid misunderstandings, these Terms and Conditions do not apply to services performed by other actors than Onitio. For the latter, other terms apply, see Other Services 8.2.
7.2 The possibility to order Standard Services is limited to the European Union (EU), the European Economic Area (EEA), and to Switzerland, unless otherwise agreed.
7.3 Onitio shall perform Standard Services professionally. Onitio's liability for errors and warranty in connection with the performance of Standard Services shall be limited to remedying errors. Onitio strives to remedy errors in Standard Services within 30 days. In addition to what follows in this section, the Customer has no right to further remedies in connection with errors in Standard Services, and Onitio provides no further warranties.
7.4 The Customer shall actively work to ensure that the Standard Services can be carried out as intended and shall continuously and without delay provide Onitio with data and materials that Onitio requests to be able to perform the Standard Services and otherwise follow Onitio's given instructions and review and approve such materials that Onitio may provide. The Customer shall also provide Onitio access to premises at the Customer's location if necessary for the performance of the Standard Services.
7.5 If there are any problems that delay the performance of the Standard Service beyond the specific time agreed between the parties, the Customer will be notified of this. If a delivery takes more than 14 working days beyond the promised performance time and the delay is not due to the Customer, the Customer has the right to cancel the purchase if the delay is of significant importance to the Customer. The Customer has no right to any other remedy for performance delay than cancellation and never the right to compensation for direct or indirect damage due to delayed performance of Standard Service.
7.6 Onitio's licensors hold all intellectual property rights to such software that Onitio uses in providing the Standard Services. Nothing in the Agreement shall be interpreted as transferring the aforementioned rights to the Customer.
7.7 Each party undertakes, in connection with Onitio providing Standard Services, not to disclose to third parties without the other party's written consent such information about the other party's business that may be considered a business or professional secret or that is covered by confidentiality according to law ("Confidential Information"), unless objectively justified reasons for such disclosure exist.
8. Other Services
8.1 In connection with the purchase, the Customer has the opportunity to order additional services from Onitio, in the form of service agreements, Mobile Device Management services, and consulting services ("Other Services"). When ordering such services, separate terms apply between the parties.
8.2 Other Services can also be ordered by the Customer from actors other than Onitio in connection with the purchase, such as service agreements with manufacturers. For certain manufacturers such as Zebra, Honeywell, Datalogic, JLT Mobile, and Elo Touch, pre-packaged service agreements are available to order in the webshop. For services provided by such manufacturers and other actors, separate terms with the respective manufacturer always apply.
9. Warranty and Complaints
9.1 When purchasing, warranties from the respective manufacturer are provided. Onitio does not provide any additional warranties.
9.2 A Customer who wishes to claim a defect in an ordered item must contact Onitio as soon as possible after the defect is discovered. For a complaint to be valid, the defect must be claimed within a reasonable time after the Customer noticed or should have noticed the defect. Defects claimed within two weeks from the time the Customer discovered the defect will always be considered to have been made in time. In connection with the complaint, the Customer must return the item to Onitio.
9.3 When Onitio has received a defective item in return and determined that the Customer's complaint is valid, Onitio will replace the item or remedy the defect. Onitio strives to remedy defects or send out a new item within 30 days from the time Onitio received the item, but it may take longer depending on the nature of the item. Onitio reserves the right to deny a replacement or remedy if it turns out that the item is not defective. In such cases, the Customer must bear the cost of the item and the time Onitio spent handling the Customer's return.
9.4 When purchasing Standard Services and Other Services, the terms stated in section 7 and such separate terms as stated in section 8 apply.
9.5 In addition to what follows in this section, the Customer has no right to further remedies in connection with defects in the item.
10. Customer Information and Customer Account, etc.
10.1 The Customer guarantees that the person who has registered a customer account and any other users are authorized to perform actions such as ordering goods and services and making purchases on behalf of the Customer in the webshop. The Customer is responsible for all actions performed by its users while logged into the customer account. Furthermore, the Customer must ensure that its users read and accept these Terms and Conditions and take note of Onitio's privacy policy.
10.2 The Customer undertakes to ensure that no unauthorized person can use the login details for the customer account. The Customer must not disclose the username and password to any unauthorized person and must ensure that documents containing the username and password are stored in such a way that unauthorized persons cannot access the information. The Customer must immediately report to Onitio if it is suspected that an unauthorized person knows the Customer's password.
10.3 If Onitio suspects that a customer account or login details are being misused or the use otherwise violates the Terms and Conditions, Onitio has the right to suspend the Customer's account. Onitio also has the right to assign the Customer new login details for any reason.
10.4 Onitio is the data controller for the processing of personal data for the Customer's contact person in connection with the purchase. Information on how Onitio handles personal data can be found in Onitio's privacy policy. If the Customer orders Other Services from Onitio and Onitio processes personal data on behalf of the Customer, Onitio is the data processor. In such a situation, Onitio's data processing agreement becomes an appendix to these Terms and Conditions.
11. Force Majeure
11.1 If Onitio is prevented from fulfilling its obligations due to circumstances beyond Onitio's control, such as but not limited to war, labour conflict, lightning strike, fire, epidemic, natural disaster, changed legislation, or government regulation or similar, and Onitio could not reasonably have anticipated at the time of purchase and whose consequences Onitio could not reasonably have avoided or overcome, this shall constitute grounds for relief that entail the postponement of agreed performance times and exemption from liability for damages and other possible consequences.
11.2 If the fulfilment of the purchase is significantly prevented for more than three (3) months due to the above-mentioned circumstance, either party has the right, without liability for compensation, to cancel the purchase with immediate effect.
12. Changes to the Terms
12.1 Onitio reserves the right to make changes to these Terms and Conditions at any time. All changes to these Terms and Conditions will be published in the webshop. Changes apply from the time the Customer has accepted the Terms and Conditions (in connection with a new purchase or when visiting the webshop).
13. Applicable Law and Dispute
13.1 Disputes regarding the interpretation or application of these Terms and Conditions shall be interpreted in accordance with Swedish law without applying its provisions on choice of law and the law (1987:822) on international purchases and shall be decided by a general court.
